The Australian Securities and Investments Commission (ASIC) has reported a significant increase in misconduct complaints, with corporate governance issues leading the surge.
ASIC received 9,686 reports of misconduct between 1 July and 31 December 2025, covering 13,036 separate issues. Governance-related concerns accounted for 40% of all matters raised, followed by financial services and retail investor issues at 44%.
Deputy Chair Sarah Court said the data reflects heightened scrutiny of how companies are managed and held accountable. “They underscore ASIC’s enforcement priorities, which include tackling governance and directors’ duties failures, reaffirming that stronger governance remains a top priority for ASIC,” she said.
ASIC is currently investigating multiple cases involving governance lapses, including failures to maintain or provide company records, insolvency-related breaches, and disputes involving shareholders.
The regulator recorded a 28% increase in reports compared with the previous six-month period. ASIC attributed part of the rise to improvements to its reporting platform introduced in June 2025, which have simplified the process for submitting complaints.
ASIC said reports of misconduct remain a critical source of intelligence, helping identify risks affecting consumers, investors, and creditors, and shaping decisions on civil and criminal enforcement.
In a separate release, ASIC reported that courts imposed $349.8 million in civil penalties over the same period, with additional funds returned to Australians through enforcement and remediation activities.
