ASIC launches hub for small business directors

ASIC has launched a new online resource to help directors of Australian companies, including non-resident directors, understand and meet their legal obligations.

The new Small Business Director Essentials hub provides practical guidance, learning modules and tools covering every stage of a company's life cycle, from setting up and operating a business to restructuring or closing it. The initiative forms part of ASIC's Small Business Strategy and regulatory simplification programme. 

For non-resident directors, the hub offers a central source of information on director responsibilities under Australia's Corporations Act, helping them better understand their compliance obligations while managing an Australian company from overseas. 

ASIC Commissioner Kate O'Rourke said the hub brings together practical resources to help directors access clear guidance and understand what is expected of them throughout their director journey. 

ASIC developed the resource after consulting small business stakeholders and surveying 400 small business directors about the challenges they face in meeting their obligations. The research found that although most directors believed they understood their responsibilities, many remained uncertain about the consequences of non-compliance. Almost half (49%) cited time constraints and regulatory complexity as key barriers, while 44% identified the cost of professional advice and 41% pointed to the cost of maintaining compliance. 

The survey also found that 35% struggled to navigate multiple information sources, 32% found there was too much information to sort through, and 22% had never sought information or advice about their director obligations. 

Accountants were the most commonly used source of guidance, with 87% of respondents seeking advice from an accountant during the previous year. Nearly half (46%) also relied on ASIC's website for information. 

The new hub may be particularly useful for overseas business owners and foreign directors who need a single source of practical guidance to help them understand their ongoing compliance obligations as directors of Australian companies.
